Seller Agreement

1. Parties

This agreement is between WDI ("the Marketplace") and the seller ("you" or "Seller"). By creating a seller account on WDI, you confirm you have read and accepted this agreement.

2. Independent operation

You are an independent business operating on the WDI marketplace. WDI is not your employer, partner, or franchisor. The contract of sale for any item is between you and the buyer; WDI provides the platform and ancillary services (payment collection, dispute mediation, marketing).

3. Eligibility & KYC

To list products on WDI you must:

  • Be a UAE-registered business with a valid trade license
  • Provide accurate KYC information (Emirates ID, trade license, bank details)
  • Maintain valid VAT registration where applicable (currently 5%)
  • Hold any product-specific licenses your category requires

WDI may suspend your account at any time if KYC information becomes invalid or fraudulent.

4. Listings

You agree that every product you list:

  • Is your own property (or you have authorized rights to sell it)
  • Is described accurately, including condition, brand, and origin
  • Uses images you own or have license to use
  • Is legal to sell in the UAE
  • Is not in any of the prohibited categories (counterfeit goods, hate-speech merchandise, illegal items, weapons, certain pharmaceuticals — full list available in the seller dashboard)

5. Pricing & VAT

You set the price. Prices must be inclusive of UAE VAT (currently 5%). WDI passes the VAT-inclusive price to the buyer and remits VAT collection responsibility to you per UAE FTA rules.

6. Marketplace commission

WDI charges a category-specific commission on each sold item, deducted from your payout. The commission rate per category is published in your seller dashboard and may be revised with 30 days notice.

7. Payouts

  • Payouts are made by bank transfer to your verified account
  • Available balance accrues from delivered orders after the 14-day return window expires
  • The minimum payout amount and processing schedule are published in your seller dashboard
  • Standard processing time: 5–7 business days after your request is approved

8. Order fulfillment

  • Pack and dispatch orders within 2 business days of confirmation
  • Use only WDI-approved couriers (managed via the seller dashboard)
  • Provide a real, verifiable tracking reference at ship time
  • For Cash on Delivery orders, accept that the courier collects cash on your behalf and remits to WDI

9. Returns & refunds

You agree to honor the buyer's right to a 14-day return as described in the WDI Refund Policy. You bear the cost of return shipping for verified seller errors (damaged/incorrect items) and charge the buyer for buyer-fault returns. WDI mediates disputes in good faith.

10. Performance standards

WDI may suspend or terminate sellers who consistently fall below performance standards:

  • On-time ship rate < 90%
  • Order cancellation rate > 5%
  • Average rating < 3.5 stars
  • Return rate > 15%

11. Termination

Either party may terminate this agreement with 30 days written notice. WDI may terminate immediately for violations of this agreement, fraud, or legal infractions. On termination, your available balance is paid out per the standard payout terms.

12. Liability

You are solely responsible for the products you sell. WDI's liability to you is limited to fees paid to WDI in the prior 12 months, to the maximum extent permitted by UAE law.

13. Governing law

This agreement is governed by the laws of the United Arab Emirates. Disputes shall be resolved in the courts of Dubai.
